Terms of Service

Last Updated: September 2026

1. Service Description

Welcome to niterite.org, a software-as-a-service (SaaS) platform provided by Niterite. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Niterite ("Company," "we," "us," or "our") governing your access to and use of the niterite.org website, platform, and associated services (collectively, the "Service"). By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately cease all use of the Service.

The Service provides users with cloud-based software tools designed to facilitate [insert specific SaaS functionality, e.g., project management, data analytics, customer relationship management]. We grant you a personal, non-exclusive, non-transferable, revocable, and limited license to access and use the Service strictly in accordance with these Terms and any applicable service level agreements. This license is subject to your continuous compliance with all conditions set forth herein. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice, except as required by applicable law.

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated herein by reference. We encourage you to review our Privacy Policy to understand our data handling practices, and our Cookie Policy to understand how we use tracking technologies. To the extent any provision in these Terms conflicts with the Privacy Policy or Cookie Policy, these Terms shall control regarding your use of the Service, while the Privacy Policy shall control regarding our collection, use, and disclosure of personal information.

The Service is intended for business and commercial use. Unless explicitly authorized by us in writing, the Service is not intended for personal, household, or consumer use. To the extent the Service is used for commercial purposes, the Uniform Commercial Code (UCC) Article 2 as adopted by the relevant state may govern aspects of the transaction, though the Service primarily constitutes the provision of services and software licenses rather than the sale of goods. We disclaim any warranties not expressly stated in these Terms to the maximum extent permitted by law.

2. User Accounts

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password, and for all activities that occur under your account. You agree to immediately notify Niterite of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

You must be at least 13 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are 13 years of age or older. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13 in compliance with the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA) and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). If we learn that we have collected personal information from a child under 13 without verifiable parental consent, we will promptly delete that information.

You are responsible for all content and data uploaded, transmitted, or stored through your account. You must ensure that your use of the Service complies with all applicable federal, state, and local laws and regulations. We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that your account information is inaccurate, incomplete, or violates these Terms. One person or legal entity may not maintain multiple accounts, and multiple users may not share a single account without an appropriate enterprise licensing agreement.

If you are using the Service on behalf of a legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms, and in such case, "you" and "your" will refer to both you and that entity. Any breach of these Terms by an authorized user of your account will be deemed a breach by you. You are responsible for managing user access within your organization and must promptly remove access for departing employees or contractors.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Your use of the Service must comply with all applicable laws, including the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices), which prohibits unfair or deceptive acts or practices in or affecting commerce. You must not misrepresent your identity, your affiliation with others, or the nature of the data you process through the Service.

You agree not to intercept, capture, or record any communication or data transmitted through the Service without proper authorization. This includes compliance with the Electronic Communications Privacy Act, 18 U.S.C. § 2511 (limited application), and applicable state wiretapping and communication privacy statutes, such as the California Invasion of Privacy Act § 631, which addresses unauthorized recording and session-replay litigation. You must obtain all necessary consents before recording, monitoring, or processing communications involving other parties through the Service.

Furthermore, your use of the Service must respect the privacy rights of individuals. You must comply with all applicable state comprehensive privacy laws, including the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other State comprehensive privacy laws (TX, OR, MT, FL, TN, etc.). If you process personal data through the Service, you are solely responsible for ensuring you have a lawful basis for such processing and for responding to consumer rights requests.

You acknowledge that Niterite complies with the California Consumer Privacy Act as amended by CPRA — 'Do Not Sell or Share My Personal Information' / Global Privacy Control obligations (Cal. Civ. Code § 1798.120, § 1798.135). We do not sell personal information as defined by applicable law. If you use the Service to interact with end-users, you must not engage in practices that violate these privacy frameworks, including the unauthorized sale or sharing of personal data. Violation of this Acceptable Use Policy may result in immediate suspension of your access to the Service.

4. Prohibited Activities

You are strictly prohibited from engaging in any activity that interferes with or disrupts the Service, servers, or networks connected to the Service. Prohibited activities include, but are not limited to: attempting to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service; hacking, password mining, or using any other method to circumvent security measures; uploading or transmitting viruses, Trojan horses, worms, or any other malicious code; and interfering with the proper functioning of the Service through denial-of-service attacks or similar techniques.

You may not use the Service to engage in any fraudulent, abusive, or unlawful activities. This includes, but is not limited to, violating the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), by using the Service to implement negative-option features without clear and conspicuous disclosure of material terms and without obtaining express informed consent. You must not use the Service for deceptive marketing, pyramid schemes, or any other practices prohibited by the FTC Act. Furthermore, you may not use the Service to facilitate cross-border fraud or illegal activities in violation of the SAFE WEB Act permanently reauthorized 2015 (21st Century DOJ/Apps Act-era codification, 15 U.S.C. § 8401 note).

Reverse engineering, decompiling, or disassembling any part of the Service, except to the extent that such restriction is expressly prohibited by applicable law, is strictly forbidden. You may not rent, lease, lend, sell, resell, sublicense, distribute, or otherwise transfer access to the Service to any third party without our prior written consent. Scraping, data mining, or using robots or similar data gathering tools to extract data from the Service without explicit authorization is also prohibited.

We reserve the right to investigate suspected violations of these Prohibited Activities and to take appropriate action, including reporting to law enforcement authorities. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if we believe you have engaged in any prohibited activity. You acknowledge that Niterite has no obligation to monitor user activity but reserves the right to do so to ensure compliance with these Terms and to protect the integrity of the Service.

5. Content Ownership

All right, title, and interest in and to the Service, including but not limited to the software, user interface, graphics, text, code, and underlying technology, are and will remain the exclusive property of Niterite and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and international jurisdictions. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license expressly granted herein.

You retain all ownership rights in and to the data, information, and materials you upload, submit, or transmit through the Service ("User Data"). By using the Service, you grant Niterite a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, store, process, and transmit your User Data solely for the purpose of providing, maintaining, and improving the Service. We will not access or use your User Data except as necessary to provide the Service to you, comply with applicable law, or enforce these Terms.

To the extent the Service includes any open-source software, such software is licensed under the terms of the applicable open-source license agreements. Nothing in these Terms restricts or limits your rights under any applicable open-source license. We respect intellectual property rights and expect our users to do the same. We will respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA).

The Service may contain third-party content, links, or integrations. We do not control and are not responsible for third-party content or services. Your use of third-party services is at your own risk and is subject to the terms and conditions of those third parties. We disclaim all liability for any unauthorized use of your User Data by third parties or for any breach of security by third-party service providers.

6. User-Generated Content

If the Service allows you to create, upload, post, or share content visible to other users ("User-Generated Content" or "UGC"), you are solely responsible for the UGC you submit. You represent and warrant that you have all necessary rights, licenses, and consents to submit the UGC and that it does not violate any law or the rights of any third party. You must not submit UGC that is defamatory, obscene, infringing, fraudulent, or otherwise objectionable. We reserve the right to remove or restrict access to any UGC that we believe violates these Terms or applicable law.

By submitting UGC, you grant Niterite a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, display, reproduce, modify, adapt, and distribute the UGC for the purpose of operating and providing the Service. This license will terminate when you delete the UGC or your account, except to the extent the UGC has been incorporated into aggregated or anonymized data. We do not claim ownership of your UGC; you retain your ownership rights.

We may monitor, review, or modify UGC at our discretion, but we have no obligation to do so. We assume no liability for any UGC or for any actions of users who submit UGC. You agree to indemnify and hold Niterite harmless from any claims, damages, or expenses arising out of your UGC or your violation of these Terms. We may cooperate with law enforcement requests for UGC in accordance with applicable law.

You must ensure that your UGC complies with all applicable advertising and consumer protection laws, including the FTC Act, which requires clear disclosure of material connections in endorsements and testimonials. You may not use the Service to disseminate unsolicited commercial communications or spam. Any unauthorized use of the Service to distribute UGC that violates consumer protection laws may result in immediate termination of your account.

7. Payment Terms

Access to certain features of the Service may require payment of subscription fees. You agree to pay all applicable fees as described on the Service or in a separate agreement. Fees are billed in advance on a recurring monthly or annual basis, depending on your selected plan. All payments must be made through our authorized payment processors. You authorize us to charge your designated payment method for all fees due for the Service.

If you enroll in a subscription plan with automatic renewal, you authorize Niterite to automatically charge your payment method at the beginning of each billing cycle until you cancel. In compliance with the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), we provide clear disclosure of the material terms of our subscription, obtain your express informed consent before charging your payment method, and offer a simple mechanism to cancel your subscription at any time through your account settings or by contacting our customer support.

Unless required by law, all fees are non-refundable. If you cancel your subscription, the cancellation will take effect at the end of the current billing cycle, and you will retain access to the Service until that time. We may change our fees upon reasonable notice. Any price changes will apply to your next billing cycle following the notice. You are responsible for all taxes associated with your use of the Service, except for taxes on Niterite's net income.

To the extent any aspect of the payment terms is governed by the Uniform Commercial Code (UCC) Article 2 as adopted by the states, or the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA), such laws shall apply only to the extent they do not conflict with these Terms. We reserve the right to suspend or terminate your access to the Service if any charges are declined or if your account is past due. You must keep your billing information accurate and up to date.

8. Service Modifications

Niterite is constantly innovating to improve the Service. We reserve the right to modify, update, enhance, or discontinue the Service, or any part of it, at any time and without prior notice. We may impose limits on certain features of the Service or restrict access to parts or all of the Service without notice or liability. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

If we make material changes to the Service that adversely affect your use, we will endeavor to provide you with reasonable notice, where feasible. However, in cases of security vulnerabilities, legal requirements, or urgent operational needs, we may make immediate changes without prior notice. You acknowledge and agree that the Service is provided on an "as is" and "as available" basis, and that your continued use of the Service following any modifications constitutes your acceptance of the updated Service.

We may also update these Terms from time to time to reflect changes in our practices, legal requirements, or operational factors. We will post the updated Terms on this page and update the "Last Updated" date at the top. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

We strive to maintain compatibility with commonly used browsers and operating systems, but we cannot guarantee that the Service will be compatible with all hardware or software. You are responsible for maintaining your own equipment and internet connection to access the Service. We are not liable for any failure or delay in the Service caused by your equipment or third-party networks.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Niterite, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or reputational harm, arising out of or related to your use of, or inability to use, the Service. This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or any other legal theory.

In no event shall Niterite's total aggregate liability for any claims arising out of or related to these Terms or the Service exceed the amount you paid to us during the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100.00), whichever is greater. This limitation of liability is an essential basis of the bargain between the parties and applies even if any limited remedy fails of its essential purpose.

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the Service at your own risk. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above exclusions may not apply to you.

You acknowledge that we are not responsible for the security or privacy of your User Data once it leaves our servers, such as when you export it or share it with third parties. We are not liable for any unauthorized access to your account resulting from your failure to maintain the confidentiality of your credentials. You are solely responsible for backing up your User Data, and we are not liable for any loss or corruption of data.

10. Termination

You may terminate your account and stop using the Service at any time by following the instructions in your account settings or by contacting us. Upon termination, your license to use the Service will immediately cease. You remain responsible for all fees incurred up to the date of termination. If you cancel a subscription, you will not receive a refund for the remaining portion of the billing cycle, except where required by law.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms, applicable law, or if your actions may cause harm to us, other users, or third parties. We may also terminate or suspend your account if you become insolvent, file for bankruptcy, or cease doing business. Upon termination, we may delete your account and all associated User Data.

The following sections shall survive any termination of these Terms: Payment Terms (for outstanding fees), Limitation of Liability, Indemnification, and any other provisions that by their nature should survive. Termination does not affect any rights or remedies that have accrued prior to termination. We are not liable to you or any third party for any termination of your access to the Service.

If you have entered into a separate written agreement with Niterite that governs your use of the Service, the terms of that agreement will control in the event of a conflict with these Terms regarding termination. However, a breach of these Terms may still result in termination under both the agreement and these Terms.
